Autonomic Platform Terms of Service

These Autonomic Platform Terms of Service, together with all policies and additional terms expressly incorporated into them by reference, constitute a legally binding agreement between you and Autonomic Technologies Inc.
Please read these Terms carefully. They contain important provisions concerning your legal rights and responsibilities, including disclaimers of warranties, limitations of liability, and provisions governing disputes.
Article I — Introduction, Acceptance, Scope, and Definitions
1.1 About Autonomic
Autonomic Technologies, Inc. ("Autonomic," "we," "us," or "our") means Autonomic Technologies, Inc., a Delaware corporation, and, where the context requires, its affiliates and subsidiaries acting on its behalf in connection with the Platform.
Autonomic develops, owns, commercializes, licenses, and operates the Autonomic Intelligence Platform, a proprietary neuroscience-informed technology platform designed to help individuals better understand, measure, monitor, and improve brain performance and the relationship between brain performance and human behaviour.
The Platform may integrate Information, behavioural and engagement signals, objective measurements where available, neuroscience-informed methodologies, Human Validation Processes, computational models, Artificial Intelligence Systems, rules-based systems, and other technologies to generate Brain Performance Intelligence and provide Platform functionality.
The Platform is intended to support understanding, awareness, and informed decision-making relating to brain performance and human behaviour. It is not a medical device or medical service and is not intended to diagnose, treat, cure, prevent, or provide medical advice regarding any disease, disorder, injury, or other health condition.
1.2 Scope of These Terms
These Terms govern your access to and use of:
(a) Autonomic's websites, including getautonomic.com and any successor or related website operated by Autonomic;
(b) Autonomic's web-based and mobile applications;
(c) any software, portals, interfaces, dashboards, communications, reports, content, questionnaires, routines, recommendations, or other features made available to you by or on behalf of Autonomic;
(d) any artificial intelligence, machine-learning, automated analysis, recommendation, personalization, or decision-support functionality made available through Autonomic;
(e) any related services, programs, pilots, or user experiences that link to or expressly incorporate these Terms; and
(f) any updates, enhancements, replacements, modifications, or successor versions of the foregoing.
The foregoing are collectively referred to in these Terms as the "Platform."
These Terms apply to individual users of the Platform. A separate written agreement may govern the relationship between Autonomic and an educational institution, employer, association, research organization, benefit provider, sponsor, or other organization that purchases, sponsors, administers, or facilitates access to the Platform.
If you access the Platform through such an organization, these Terms continue to govern your individual use of the Platform unless Autonomic expressly states otherwise.
1.3 Acceptance of These Terms
You accept and agree to be bound by these Terms when you:
(a) create or activate a User Account;
(b) click or select a button, checkbox, or other electronic mechanism indicating your agreement to these Terms;
(c) access or use the Platform after being presented with notice of these Terms; or
(d) otherwise expressly agree to these Terms.
If you do not agree to these Terms, you must not create a User Account or access or use the Platform.
Your acceptance of these Terms forms a legally binding agreement between you and Autonomic. You should save or print a copy of these Terms for your records.
1.4 Privacy Notices and Consent
Autonomic's collection, use, disclosure, retention, protection, and other handling of Personal Information are described in the Autonomic Privacy Policy and, where applicable, any privacy notice or consent form presented to you at registration or while using the Platform.
The Privacy Policy is incorporated into these Terms by reference for the limited purpose of explaining Autonomic's privacy practices. However:
(a) your agreement to these Terms constitutes your agreement to the contractual rules governing your use of the Platform;
(b) your acknowledgement of the Privacy Policy confirms that the Privacy Policy has been made available to you; and
(c) where applicable law requires consent for a particular collection, use, or disclosure of Personal Information, Autonomic will request that consent through an appropriate notice, consent statement, account-registration process, or other affirmative mechanism.
Agreement to these Terms will not, by itself, be treated as consent to a collection, use, or disclosure for which applicable law requires separate, express, or additional consent.
You may be asked to provide specific consent to the processing of information you submit through the Platform, including information concerning stress, sleep, mood, focus, energy, habits, reflections, goals, experiences, or other aspects of your day-to-day functioning. Additional provisions governing such information will be set out in Article IV of these Terms and in the Privacy Policy.
1.5 Electronic Agreement and Communications
You agree that:
(a) these Terms may be accepted electronically;
(b) your electronic acceptance has the same legal effect as a handwritten signature to the fullest extent permitted by applicable law;
(c) Autonomic may provide agreements, disclosures, notices, policies, records, and other communications electronically, including through the Platform, by email, or through another electronic method associated with your User Account; and
(d) you are responsible for maintaining a valid email address and current contact information in your User Account.
You may withdraw your consent to receive electronic communications where applicable law permits you to do so. Withdrawal may affect Autonomic's ability to provide all or part of the Platform to you.
1.6 Eligibility
You may use the Platform only if:
(a) you have the legal capacity to enter into a binding agreement under the laws applicable to you;
(b) your use of the Platform is not prohibited by applicable law;
(c) you satisfy any age or eligibility requirements disclosed during registration; and
(d) all information you provide concerning your eligibility is truthful and accurate.
If you have not reached the age at which you may independently consent to the applicable processing of your Personal Information or enter into these Terms in your jurisdiction, you may use the Platform only where Autonomic has implemented an authorized consent or account process appropriate to your circumstances.
Autonomic may establish different eligibility requirements for particular services, research activities, jurisdictions, institutional programs, or categories of information.
Nothing in these Terms obligates Autonomic to make the Platform available to children or to any person who cannot provide legally valid consent. Autonomic may refuse registration, restrict functionality, request age or authority verification, or suspend an account where reasonably necessary to comply with law or protect users.
1.7 Methods of Access
You may access the Platform in a variety of ways, including:
(a) by creating an individual account directly with Autonomic;
(b) through an educational institution, employer, health or wellness program, student organization, insurer, benefit provider, research organization, governmental organization, or other entity that has arranged access to the Platform (each, an "Organization"); or
(c) through any other method authorized by Autonomic.
These Terms apply regardless of how you access the Platform unless Autonomic expressly provides otherwise.
Where your access is provided through an Organization, additional agreements between Autonomic and that Organization may govern the Organization's use of the Platform and related administrative services. Unless expressly disclosed to you:
- your Organization does not become the owner of your Personal Information or User Content solely because it sponsors or administers your access;
- Autonomic will disclose Personal Information to your Organization only as described in the Privacy Policy, pursuant to your authorization or consent, as required by applicable law, or as otherwise permitted under applicable law;
- your Organization may receive aggregated, de-identified, operational, participation, or program-level information relating to the Platform; and
- termination of your Organization's agreement with Autonomic may affect your continued access to certain Platform features or services.
If you create an individual account directly with Autonomic, this Section does not grant any third party rights to your information.
1.8 Supplemental Terms
Certain features, programs, products, or services may be governed by additional terms, notices, or consents, including:
(a) research-participation consent forms;
(b) institution-specific privacy notices;
(c) mobile application terms;
(d) promotional or pilot-program conditions;
(e) payment or subscription terms;
(f) jurisdiction-specific notices; and
(g) terms governing beta, test, or prerelease features.
Those additional terms form part of your agreement with Autonomic when you accept them or use the applicable feature, program, product, or service.
If there is a direct conflict between these Terms and specifically applicable Supplemental Terms, the Supplemental Terms will control solely with respect to the subject matter of that conflict.
1.9 Changes to These Terms
Autonomic may modify these Terms from time to time to reflect changes in the Platform, Autonomic's business, applicable law, regulatory requirements, security practices, or other legitimate operational needs.
When Autonomic makes a material change, Autonomic will provide notice in a manner reasonably appropriate to the nature of the change. Notice may be provided through the Platform, by email, or by another method associated with your User Account.
The revised Terms will state the date on which they were last updated and the date on which they become effective.
Where required by applicable law, Autonomic will obtain your affirmative agreement before a material change applies to you. Autonomic will not rely solely on your continued use of the Platform as consent to a new or materially different collection, use, or disclosure of Personal Information where applicable law requires additional consent.
If you do not agree to revised Terms, you must stop using the Platform and may close your User Account in accordance with these Terms.
1.10 No Medical or Professional Relationship
Your use of the Platform does not create a physician-patient, psychologist-client, therapist-client, counsellor-client, fiduciary, or other regulated professional relationship between you and Autonomic or between you and any of Autonomic's personnel, contractors, reviewers, advisors, or service providers.
References to neuroscience, brain performance, behavioural science, wellbeing, safety, or research do not mean that Autonomic is providing medical care, psychotherapy, counselling, diagnosis, or treatment.
Additional health, safety, and professional-services disclaimers are contained in Article IX.
1.11 Definitions
For purposes of these Terms, the following definitions apply:
"Aggregated Data" means information that has been combined with information relating to other users, events, or sources and is presented or maintained in a form that does not reasonably identify an individual.
"AI Output" means any recommendation, summary, response, routine, prioritization, classification, prediction, score, insight, message, educational material, or other output generated or materially assisted by an Artificial Intelligence System through the Platform.
"Applicable Law" means all applicable federal, state, provincial, territorial, local, and foreign laws, statutes, regulations, rules, regulatory guidance having binding legal effect, governmental orders, judgments, decrees, and other legally binding requirements applicable to Autonomic, the Platform, or your access to or use of the Platform.
"Artificial Intelligence System" means any artificial intelligence, machine-learning, statistical, computational, rules-based, automated, or algorithmic system used in connection with the Platform. This includes systems used to interpret information, identify patterns, personalize experiences, generate content, recommend activities, support quality assurance, assess confidence, prioritize review, or otherwise operate or improve the Platform.
"Autonomic Content" means the Platform and all technology, software, interfaces, visual elements, designs, text, graphics, audio, video, questionnaires, assessments, routines, educational materials, recommendations, taxonomies, workflows, methodologies, scoring frameworks, models, systems, documentation, and other content made available by or on behalf of Autonomic, excluding User Content.
"Autonomic Intelligence Platform" means the proprietary technologies, methodologies, analytical models, Artificial Intelligence Systems, Human Validation Processes, software, workflows, taxonomies, decision-support systems, recommendation methodologies, behavioural intelligence methodologies, and related technologies used by or on behalf of Autonomic to generate Brain Performance Intelligence.
"Autonomic Parties" means Autonomic and its past, present, and future affiliates, parents, subsidiaries, successors, assigns, directors, officers, employees, personnel, advisors, contractors, licensors, service providers, and agents.
"Behavioural Information" means information concerning or derived from a user's interactions, activities, selections, habits, routines, engagement, responses, check-ins, reflections, stated goals, preferences, or use of the Platform.
"Brain Performance Information" means Personal Information submitted to, observed through, or derived by the Platform concerning an individual's reported or inferred stress, sleep, mood, focus, energy, habits, routines, reflections, experiences, cognitive performance, behavioural patterns, or other aspects of day-to-day functioning.
Brain Performance Information is a contractual term used in these Terms. Its use does not mean that all such information is legally classified as medical information, personal health information, or another particular statutory category in every jurisdiction.
"De-identified Data" means information that has been modified, processed, or organized so that it does not reasonably identify an individual, directly or indirectly, using means reasonably available in the circumstances. De-identified Data does not include information that applicable law continues to regulate as identifiable Personal Information.
"Feedback" means ideas, recommendations, comments, suggestions, enhancement requests, or other feedback relating to Autonomic, the Platform, or Autonomic Content.
"Human Validation Processes" means the proprietary human oversight, validation, calibration, quality assurance, safety, scientific review, continuous learning, and continuous improvement processes used by or on behalf of Autonomic to support the reliability, safety, scientific integrity, and ongoing evolution of the Autonomic Intelligence Platform and its Artificial Intelligence Systems.
"Institutional Customer" means an educational institution, student organization, employer, association, research organization, benefit provider, sponsor, government entity, or other organization that purchases, sponsors, administers, or facilitates access to the Platform.
"Personal Information" means information about an identifiable individual or any substantially equivalent term under applicable privacy or data-protection law. Personal Information does not include information excluded from that definition under applicable law.
"Privacy Policy" means the then-current Autonomic privacy policy made available through the Platform, as amended in accordance with applicable law.
"Services" means the functionality, benefits, programs, and services provided through the Platform.
"Supplemental Terms" means additional terms, policies, notices, disclosures, or consents that apply to a particular feature, product, service, program, jurisdiction, or user.
"Terms" means these Autonomic Platform Terms of Service, together with all Supplemental Terms and policies expressly incorporated by reference.
"User Account" means an account registered or activated to permit an individual to access or use all or part of the Platform.
"User Content" means information, text, responses, reflections, journal entries, messages, images, documents, or other materials that a user submits, uploads, transmits, or otherwise makes available through the Platform.
User Content does not include AI Output, Autonomic Content, or the underlying systems, analyses, models, inferences, classifications, structures, or improvements developed or generated by Autonomic in operating the Platform.
"you" and "your" mean the individual accessing or using the Platform. If you are accepting these Terms on behalf of a legal entity where Autonomic expressly permits you to do so, "you" and "your" also include that entity, and you represent that you have authority to bind it.
1.12 Interpretation
Unless the context requires otherwise:
(a) headings are included for convenience only and do not affect interpretation;
(b) "including" and similar terms mean "including without limitation";
(c) the singular includes the plural and the plural includes the singular;
(d) references to "written" or "in writing" include permitted electronic communications;
(e) references to laws include amendments, regulations, replacements, and successor legislation;
(f) a reference to a section or article is a reference to a section or article of these Terms unless otherwise stated;
(g) the words "will," "must," and "shall" express an obligation rather than a prediction; and
(h) these Terms will not be interpreted against a party merely because that party or its counsel participated in drafting them.
Article II — User Accounts, Eligibility, and Access
2.1 Eligibility
To create a User Account or use the Platform, you represent and warrant that:
(a) you have the legal capacity to enter into these Terms;
(b) your use of the Platform does not violate any applicable law or contractual obligation;
(c) all information you provide during registration and throughout your use of the Platform is complete, accurate, and current;
(d) you will promptly update your information if it changes; and
(e) you will comply with these Terms and all applicable laws while using the Platform.
Autonomic reserves the right to refuse registration, suspend access, or terminate a User Account where it reasonably believes these requirements are not satisfied.
2.2 User Account
To access certain features of the Platform, you must create a User Account.
You agree to:
- maintain only one personal User Account unless expressly authorized by Autonomic;
- maintain accurate registration information;
- promptly update inaccurate information;
- maintain the confidentiality of your login credentials;
- immediately notify Autonomic of any suspected unauthorized access to your User Account.
You are responsible for all activities occurring under your User Account unless caused by Autonomic's negligence or security breach.
2.3 Account Security
You are responsible for maintaining the confidentiality of your authentication credentials.
You may not:
- share your credentials;
- permit another individual to use your User Account;
- impersonate another user;
- create a false identity;
- circumvent security measures;
- attempt to gain unauthorized access to the Platform.
Autonomic may require additional authentication measures where appropriate.
2.4 Authorized Users
You may use the Platform only for your own personal purposes unless expressly authorized by Autonomic.
If you create an account on behalf of another person or legal entity where permitted by the Platform, you represent that you have authority to bind that person or entity to these Terms.
2.5 Organizations
If your access is provided by an Organization:
- the Organization may administer your access;
- the Organization may suspend or terminate your eligibility for organization-sponsored access;
- additional agreements may apply between Autonomic and the Organization;
- nothing in this Section grants the Organization ownership of your Personal Information.
2.6 Account Suspension
Autonomic may suspend, restrict, or terminate access where reasonably necessary to:
- protect Platform security;
- investigate misuse;
- prevent fraud;
- protect users;
- comply with law;
- maintain Platform integrity.
Where reasonably practicable, Autonomic will provide notice before suspension.
2.7 Beta Features
Autonomic may from time to time make available experimental, beta, pilot, early-access, preview, or evaluation features.
These features:
- may change without notice;
- may be discontinued;
- may not perform as expected;
- are provided "as is";
- may collect additional diagnostic information.
2.8 Future Services
The Platform may evolve over time.
Autonomic may introduce new:
- AI systems;
- coaching methodologies;
- assessments;
- simulations;
- dashboards;
- APIs;
- mobile applications;
- enterprise services;
- research tools;
- analytics;
- products;
- technologies.
Your continued use of those services may require acceptance of additional Supplemental Terms.
2.9 Identity and Authenticity of Information
You acknowledge that the value of the Platform depends upon the accuracy and authenticity of the information you choose to provide. You agree not to intentionally submit false, misleading, fabricated, or impersonated information in a manner intended to manipulate Platform outputs, interfere with Platform operations, or adversely affect Autonomic's systems, research, or services.
Article III — The Platform and Services
3.0 Purpose and Design of the Platform
The Platform is designed to function as an intelligence platform that integrates multiple sources of information to generate personalized insights intended to help users better understand, measure, monitor, and improve aspects of brain performance, behavioural patterns, and day-to-day functioning.
The Platform combines information voluntarily provided by users, behavioural interactions, objective physiological, biological, biometric, neurological, cognitive, environmental, and performance-related information from compatible technologies authorized by the user, together with neuroscience-informed methodologies, Artificial Intelligence Systems, analytical models, and Human Validation Processes to generate insights, recommendations, educational content, reports, and other services.
The Platform is designed to evolve as scientific knowledge, technology, and user needs evolve. Accordingly, the information sources, methodologies, technologies, analytical models, Artificial Intelligence Systems, integrations, and services available through the Platform may change over time.
The Platform is intended to support informed decision-making and healthy behaviour change. It is not intended to replace individual judgment, licensed healthcare professionals, or emergency services.
3.1 Nature of the Platform
Autonomic provides a proprietary neuroscience and artificial intelligence platform designed to help individuals better understand, measure, monitor, and optimize brain performance and human behaviour.
The Platform integrates information from one or more sources, which may include:
(a) information voluntarily provided by users;
(b) behavioural interactions with the Platform;
(c) objective physiological, biometric, cognitive, environmental, or performance-related information collected from compatible devices, sensors, assessments, or third-party services authorized by the user;
(d) neuroscience-informed assessments and methodologies;
(e) artificial intelligence and machine learning systems;
(f) statistical and analytical models;
(g) human quality assurance and validation processes; and
(h) other information or technologies made available through the Platform from time to time.
The Platform uses these sources to generate personalized insights, educational content, recommendations, reports, analytics, and other services intended to support brain performance, cognitive wellbeing, behavioural awareness, and informed decision-making.
The Platform may evolve over time as Autonomic introduces additional technologies, information sources, integrations, sensors, analytical methodologies, and capabilities.
3.2 Platform Services
The Platform may provide one or more of the following services and capabilities, which may evolve over time:
(a) collection of information voluntarily provided by users, including questionnaires, check-ins, reflections, journals, goals, preferences, and other user-submitted information;
(b) collection, integration, or analysis of objective physiological, biological, biometric, neurological, cognitive, behavioural, environmental, performance-related, or other scientifically relevant information from compatible devices, sensors, assessments, laboratory analyses, or third-party services authorized by the user;
(c) neuroscience-informed assessments, educational materials, and learning experiences;
(d) behavioural tracking, habit formation, and longitudinal progress monitoring;
(e) personalized routines, interventions, recommendations, educational content, and action plans;
(f) artificial intelligence-generated analyses, summaries, insights, predictions, prioritizations, and other decision-support tools;
(g) progress reporting, dashboards, trend analysis, benchmarking, and visualizations;
(h) reminders, notifications, prompts, and other engagement features;
(i) integrations with third-party software, hardware, wearable devices, sensors, applications, data providers, or other technologies;
(j) organizational, administrative, or institutional reporting and analytics, where applicable;
(k) scientific research, product validation, quality assurance, algorithm evaluation, and related research activities conducted in accordance with applicable law and any required user consents;
(l) APIs, software integrations, enterprise tools, developer services, and related technologies;
(m) experimental, pilot, beta, preview, or early-access features; and
(n) any additional products, services, technologies, or functionality that Autonomic may make available from time to time.
3.3 Artificial Intelligence Systems
Certain Platform functionality is generated, supported, or enhanced through Artificial Intelligence Systems developed, licensed, or otherwise made available by or on behalf of Autonomic.
These systems may assist in:
(a) analyzing information;
(b) identifying behavioural patterns and trends;
(c) generating summaries and educational content;
(d) personalizing recommendations and interventions;
(e) prioritizing opportunities for improvement;
(f) supporting quality assurance and Platform safety;
(g) generating reports, analytics, and visualizations;
(h) assisting Human Review processes;
(i) improving Platform performance; and
(j) supporting future Platform functionality.
Artificial Intelligence Systems generate probabilistic outputs. Outputs may differ between users, may change over time, and should not be interpreted as guarantees, factual determinations, or professional advice.
3.4 Human Validation Processes
To help maintain the quality, reliability, safety, and continuous improvement of the Platform, certain Platform activities, information, or Artificial Intelligence Outputs may be subject to review, validation, or other forms of human oversight by authorized Autonomic personnel.
Human validation may occur for purposes including:
(a) quality assurance;
(b) validation of Artificial Intelligence Outputs;
(c) safety monitoring and risk assessment;
(d) customer support;
(e) validator education and training;
(f) scientific validation;
(g) product testing and improvement;
(h) algorithm evaluation and calibration;
(i) research activities conducted in accordance with applicable law;
(j) investigating suspected misuse, fraud, security incidents, or Platform errors; and
(k) maintaining the integrity, reliability, and performance of the Platform.
Human Validation Processes are carried out by authorized personnel acting on behalf of Autonomic who are subject to appropriate confidentiality, privacy, security, and training obligations.
3.5 Continuous Improvement
Autonomic continually improves the Platform.
Accordingly, the Platform may:
- evolve;
- change;
- discontinue features;
- introduce new functionality;
- modify recommendation methodologies;
- update Artificial Intelligence Systems;
- improve behavioural models;
- modify user experiences.
Autonomic does not guarantee that any specific feature will remain available indefinitely.
3.6 Research
Autonomic conducts ongoing scientific research concerning brain performance, human behaviour, behavioural science, neuroscience, and artificial intelligence.
Certain Platform features may contribute to product validation, scientific understanding, quality assurance, and future research initiatives.
Additional consent may be required for participation in particular research studies.
3.7 No Medical Services
The Platform is not intended to:
- diagnose disease;
- treat disease;
- prevent disease;
- prescribe treatment;
- replace licensed healthcare professionals;
- replace emergency services.
Users should seek appropriate medical, psychological, psychiatric, counselling, or emergency services where appropriate.
3.8 No Guarantee
Autonomic does not guarantee that use of the Platform will produce any particular health, educational, professional, behavioural, cognitive, or performance outcome.
Individual experiences vary.
The usefulness of the Platform depends upon numerous factors including the information provided by users, user engagement, individual circumstances, and other factors beyond Autonomic's control.
3.9 Platform Availability
Autonomic will use commercially reasonable efforts to maintain Platform availability.
However, the Platform may be unavailable from time to time because of:
- maintenance;
- upgrades;
- testing;
- security;
- force majeure;
- third-party failures;
- internet disruptions.
3.10 Future Technologies
Autonomic may develop additional technologies including:
- predictive models;
- decision-support systems;
- enterprise intelligence tools;
- research platforms;
- wearable integrations;
- biometric integrations;
- APIs;
- simulation environments;
- analytics systems;
- large language model integrations;
- future Artificial Intelligence Systems.
These Terms apply to such technologies unless Autonomic provides different Supplemental Terms.
3.11 User Agency
The Platform is intended to support informed decision-making.
Users remain solely responsible for their own decisions, actions, and behaviour.
The Platform is designed to assist—not replace—individual judgment.
Article IV — Information, Consent, and Intelligence
4.1 The Information Lifecycle
The Autonomic Intelligence Platform is designed to transform information into Brain Performance Intelligence through the responsible application of neuroscience, behavioural science, analytical methodologies, Artificial Intelligence Systems, and Human Validation Processes.
To accomplish this, the Platform may receive, integrate, analyze, interpret, validate, and process multiple categories of Information to generate personalized insights intended to help users better understand, measure, monitor, and optimize brain performance.
Information processed by the Platform may include subjective information voluntarily provided by users, objective information obtained from compatible technologies authorized by the user, behavioural information generated through use of the Platform, and information derived through operation of the Platform.
The Platform is designed to evolve over time. Accordingly, the categories of Information, technologies, methodologies, integrations, analytical models, Artificial Intelligence Systems, and Human Validation Processes used by the Platform may change as scientific knowledge, technology, and user needs evolve.
4.2 Information Made Available to the Platform
During your use of the Platform, you may voluntarily provide, or authorize the Platform to collect, synchronize, receive, or access Information from one or more sources, including:
(a) questionnaires, assessments, check-ins, reflections, journals, goals, preferences, messages, and other information you choose to provide;
(b) behavioural interactions with the Platform;
(c) objective physiological, biological, biometric, neurological, cognitive, environmental, performance-related, or other scientifically relevant information obtained from compatible devices, sensors, laboratory analyses, software, or third-party services authorized by you;
(d) technical, operational, and usage information relating to your interaction with the Platform;
(e) information generated through participation in research studies, pilot programs, validation activities, or other authorized programs; and
(f) other information you voluntarily choose to provide or authorize the Platform to process.
Collectively, the foregoing are referred to in these Terms as Information.
4.3 Consent
By creating a User Account, accessing or using the Platform, and providing Information, you authorize Autonomic to collect, receive, organize, integrate, synchronize, analyze, interpret, validate, process, retain, protect, and otherwise use Information for the purposes described in these Terms, the Privacy Policy, applicable Supplemental Terms, and any additional consent you provide.
Autonomic is committed to processing Information in a manner consistent with Applicable Law and industry-recognized privacy and security practices.
Where the Platform or the Privacy Policy provides greater privacy protections than those required by Applicable Law, Autonomic generally intends to apply those protections except where doing so would conflict with Applicable Law, contractual obligations, security requirements, or legitimate operational needs.
Certain categories of Information may be considered sensitive under Applicable Law. Where Applicable Law requires additional notice or express consent before collecting, using, or disclosing such Information, Autonomic will seek that consent through the Platform or another appropriate mechanism.
You may withdraw consent where permitted by Applicable Law. Withdrawal of consent may limit your ability to access certain features or functionality of the Platform.
4.4 Information Processing
Information may be processed using one or more of the following:
(a) neuroscience-informed methodologies;
(b) behavioural science methodologies;
(c) statistical and analytical models;
(d) Artificial Intelligence Systems;
(e) Human Validation Processes;
(f) quality assurance methodologies;
(g) decision-support systems;
(h) safety monitoring methodologies;
(i) personalization technologies; and
(j) other technologies developed, licensed, or otherwise made available by or on behalf of Autonomic.
Information may be analyzed individually or in combination with other Information to identify patterns, trends, relationships, behavioural indicators, performance indicators, or other insights that support operation and continuous improvement of the Platform.
4.5 Generation of Brain Performance Intelligence
The principal function of the Autonomic Intelligence Platform is to transform Information into Brain Performance Intelligence.
For purposes of these Terms, "Brain Performance Intelligence" means the analyses, interpretations, behavioural signals, classifications, scores, recommendations, summaries, reports, educational outputs, confidence assessments, trends, longitudinal observations, visualizations, predictive outputs, insights, and other informational outputs generated through operation of the Autonomic Intelligence Platform.
Brain Performance Intelligence is generated through the application of proprietary technologies, neuroscience methodologies, analytical models, Artificial Intelligence Systems, Human Validation Processes, and other intellectual property developed, licensed, or otherwise used by Autonomic.
Brain Performance Intelligence is distinct from the Information originally provided by users and constitutes a proprietary output of the Autonomic Intelligence Platform, subject to the intellectual property provisions contained in these Terms.
Nothing in this Section transfers ownership of a user's Information to Autonomic.
4.6 Purposes of Processing
Autonomic processes Information to:
(a) provide, operate, maintain, and improve the Platform;
(b) generate Brain Performance Intelligence;
(c) provide personalized insights, recommendations, educational content, and user experiences;
(d) support Human Validation Processes, quality assurance, and Platform safety;
(e) improve Artificial Intelligence Systems, analytical models, and behavioural intelligence methodologies;
(f) validate scientific understanding relating to brain performance, cognition, behaviour, and human performance;
(g) develop new products, services, technologies, and Platform capabilities;
(h) conduct scientific research, academic collaborations, product validation, benchmarking, statistical analyses, and quality improvement activities;
(i) protect users, investigate misuse, prevent fraud, and maintain Platform security;
(j) comply with Applicable Law and regulatory obligations; and
(k) fulfill any other purpose authorized by you or permitted under Applicable Law.
4.7 De-identified and Aggregated Information
Autonomic may create De-identified Data and Aggregated Data derived from Information processed through the Platform.
Subject to Applicable Law, such information may be used to:
(a) conduct scientific and academic research;
(b) advance understanding of brain performance, cognition, behaviour, wellbeing, and human performance;
(c) validate, improve, evaluate, and develop Artificial Intelligence Systems, behavioural intelligence methodologies, Human Validation Processes, analytical models, and other Platform technologies;
(d) develop new products, services, and technologies;
(e) prepare scientific publications, presentations, educational materials, benchmarks, and industry reports;
(f) support collaborations with universities, healthcare organizations, governmental organizations, research institutions, commercial partners, and other collaborators; and
(g) conduct internal analytics, quality assurance, validation studies, benchmarking, statistical analyses, and product development.
Autonomic will use reasonable measures to ensure that information used for these purposes is maintained in de-identified or aggregated form and is handled in accordance with Applicable Law.
4.8 Future Information Sources
The Platform is intended to evolve continuously.
Accordingly, Autonomic may introduce additional compatible devices, sensors, laboratory analyses, software integrations, objective measurement technologies, Artificial Intelligence Systems, Human Validation Processes, analytical methodologies, and other capabilities that expand the functionality of the Platform.
Where the introduction of new Information sources or materially different processing activities requires additional notice or consent under Applicable Law, Autonomic will provide such notice or obtain such consent before those activities occur.
Article V — Responsible Use, Personal Agency, and Platform Integrity
5.1 Respect for Personal Agency
The Autonomic Intelligence Platform is designed to support your understanding of your own brain performance and the relationship between your brain, your behaviours, and your overall wellbeing.
The Platform is intended to assist you in developing greater understanding and awareness by providing Brain Performance Intelligence, educational information, personalized insights, and other Platform functionality. The Platform is intended to support informed decision-making while respecting your autonomy, personal agency, and responsibility for your own actions.
You remain solely responsible for your decisions, actions, behaviours, healthcare decisions, educational decisions, professional decisions, lifestyle choices, and all other personal decisions.
Autonomic does not replace your judgment or personal responsibility. Meaningful improvements in brain performance depend upon your own engagement, choices, and behaviours. The Platform is designed to support your understanding; it cannot make decisions on your behalf.
5.2 Honest Participation
The usefulness, accuracy, and reliability of Brain Performance Intelligence depend, in part, upon the quality and accuracy of the Information made available to the Platform.
You agree to provide Information that is accurate and reflective of your genuine experiences to the best of your knowledge.
You agree not to knowingly submit Information that is false, misleading, manipulated, fabricated, or fraudulent for the purpose of:
(a) influencing or manipulating Platform outputs;
(b) interfering with scientific research or validation activities;
(c) misleading other users or Organizations;
(d) compromising the integrity of the Autonomic Intelligence Platform; or
(e) engaging in fraud or other unlawful conduct.
5.3 Appropriate Use of the Platform
You agree to use the Platform only for its intended purposes and in accordance with these Terms and Applicable Law.
You will not:
(a) use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose;
(b) impersonate another individual or misrepresent your identity or authority;
(c) access or attempt to access another user's account without authorization;
(d) interfere with the operation, availability, or security of the Platform;
(e) introduce malicious software, automated scripts, bots, malware, viruses, or other harmful technologies;
(f) circumvent, disable, or interfere with Platform safeguards or security measures;
(g) use the Platform in any manner that could reasonably impair the experience of other users; or
(h) otherwise misuse the Platform or its services.
5.4 Protection of the Autonomic Intelligence Platform
The Autonomic Intelligence Platform incorporates proprietary technologies, methodologies, Artificial Intelligence Systems, Human Validation Processes, analytical models, behavioural intelligence methodologies, workflows, and other intellectual property developed or licensed by Autonomic.
You agree not to intentionally interfere with the integrity, operation, or reliability of the Autonomic Intelligence Platform.
Without limiting the foregoing, you will not:
(a) attempt to manipulate or influence Brain Performance Intelligence through deceptive or automated activity;
(b) attempt to interfere with Human Validation Processes;
(c) intentionally compromise scientific validation or research activities;
(d) attempt to bypass Platform safeguards;
(e) probe, test, scan, or exploit Platform vulnerabilities except as expressly authorized by Autonomic;
(f) attempt to discover, extract, reproduce, or replicate proprietary methodologies, models, prompts, workflows, algorithms, decision systems, or other components of the Autonomic Intelligence Platform; or
(g) otherwise interfere with the operation, integrity, security, scientific validity, or reliability of the Platform.
5.5 Artificial Intelligence Systems
Certain Platform functionality is supported by Artificial Intelligence Systems that assist in generating Brain Performance Intelligence and supporting user understanding.
You acknowledge that Artificial Intelligence Systems generate probabilistic outputs that may evolve as the Platform continues to improve.
You agree not to use the Platform to:
(a) intentionally manipulate or exploit Artificial Intelligence Systems;
(b) attempt to discover confidential prompts, system instructions, proprietary model configurations, or other confidential implementation details;
(c) circumvent Platform safeguards intended to protect users or Platform integrity; or
(d) use Artificial Intelligence Systems in a manner inconsistent with these Terms.
5.6 Human Validation Processes
The Platform incorporates Human Validation Processes designed to support quality, reliability, scientific integrity, continuous improvement, and user safety.
You agree not to intentionally interfere with, disrupt, manipulate, or otherwise compromise Human Validation Processes or the personnel authorized to participate in those processes.
5.7 Research Integrity
Autonomic conducts and supports scientific research, validation studies, product evaluation, academic collaborations, and other research activities intended to improve understanding of brain performance and enhance the quality of the Platform.
Where you voluntarily participate in research activities, you agree to participate honestly and in good faith.
You agree not to knowingly manipulate research data, interfere with scientific studies, intentionally provide false research information, or otherwise compromise the integrity of research conducted by or on behalf of Autonomic.
Nothing in this Section obligates you to participate in research activities unless you separately choose to do so.
5.8 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your User Account.
You agree to notify Autonomic promptly if you become aware of any unauthorized access to your account or any suspected security incident affecting your use of the Platform.
5.9 Feedback
Autonomic welcomes suggestions, comments, ideas, feature requests, research observations, and other feedback relating to the Platform.
Unless otherwise agreed in writing, you acknowledge that Autonomic may use such feedback for any lawful purpose without restriction or obligation to compensate you.
5.10 Enforcement
Autonomic may suspend, restrict, or terminate access to all or part of the Platform where Autonomic reasonably believes such action is necessary to:
(a) protect the safety of users or third parties;
(b) protect the integrity, security, reliability, or scientific validity of the Autonomic Intelligence Platform;
(c) investigate suspected violations of these Terms;
(d) prevent fraud, misuse, or unauthorized access;
(e) comply with Applicable Law or legal process; or
(f) protect the rights, property, reputation, or legitimate interests of Autonomic or others.
Any enforcement action taken by Autonomic shall be exercised in a commercially reasonable manner based on the information reasonably available at the time.
Article VI — Platform Purpose, Limitations, and Important Disclaimers
6.1 Purpose of the Platform
The Autonomic Intelligence Platform is designed to help individuals better understand their brain performance and the relationship between their brain, their behaviours, and their overall wellbeing.
The Platform provides Brain Performance Intelligence, educational information, personalized insights, recommendations, behavioural observations, and other tools intended to support greater understanding, awareness, and informed decision-making.
The Platform is intended to assist users in making their own informed choices. It is not intended to replace personal judgment, professional advice, or individual responsibility.
6.2 Scientific Nature of the Platform
Autonomic develops the Platform using neuroscience, behavioural science, scientific research, Artificial Intelligence Systems, Human Validation Processes, analytical methodologies, and other technologies.
Scientific knowledge continually evolves. Accordingly, the Platform, its methodologies, Brain Performance Intelligence, recommendations, features, and functionality may change over time as new scientific evidence, research findings, technologies, and validation become available.
Autonomic continually evaluates and improves the Platform; however, no Platform output should be interpreted as establishing scientific certainty regarding any individual user.
6.3 No Medical, Psychological, or Professional Advice
Unless expressly stated otherwise in writing by Autonomic, the Platform has not been designed, approved, licensed, certified, or intended to diagnose, treat, cure, prevent, or manage any disease, disorder, injury, or medical condition.
The Platform is not a substitute for professional medical, psychological, psychiatric, therapeutic, legal, financial, educational, or other professional advice.
You should consult an appropriately qualified professional regarding any medical, psychological, educational, legal, financial, or other professional matter requiring individualized advice.
Nothing contained within the Platform creates a physician-patient, psychologist-patient, therapist-client, fiduciary, or other professional relationship between you and Autonomic.
6.4 No Guaranteed Outcomes
Brain performance is influenced by numerous biological, behavioural, environmental, psychological, educational, and lifestyle factors that may be outside the knowledge or control of the Platform.
Accordingly, Autonomic does not represent or warrant that use of the Platform will produce any particular outcome, improvement, performance level, behavioural change, educational result, health outcome, or other measurable benefit.
Research findings published by or on behalf of Autonomic describe observed outcomes within specific studies and populations and should not be interpreted as guarantees of individual results.
6.5 Limitations of Brain Performance Intelligence
Brain Performance Intelligence is generated from the Information made available to the Platform together with the scientific methodologies, analytical models, Artificial Intelligence Systems, Human Validation Processes, and other technologies used by the Platform at the time the Brain Performance Intelligence is generated.
Brain Performance Intelligence reflects probabilities, interpretations, patterns, correlations, and other analytical outputs rather than objective statements of fact.
Brain Performance Intelligence may change over time as additional Information becomes available, methodologies evolve, scientific understanding advances, or Platform capabilities improve.
You acknowledge that Brain Performance Intelligence should be considered together with your own judgment and, where appropriate, professional advice.
6.6 Personal Responsibility
You remain solely responsible for your own actions, decisions, behaviours, healthcare decisions, educational decisions, professional decisions, financial decisions, legal decisions, and lifestyle choices.
Autonomic provides information intended to support understanding. You remain solely responsible for determining whether and how to act upon that information.
6.7 Emergencies
The Platform is not monitored continuously and should not be relied upon as an emergency response service.
If you believe that you or another person is experiencing a medical emergency, mental health emergency, crisis, or other situation requiring immediate assistance, contact your local emergency services or other appropriate emergency resources immediately.
You should not delay seeking emergency assistance because of information provided by the Platform.
6.8 Platform Availability
Although Autonomic seeks to maintain reliable access to the Platform, uninterrupted availability cannot be guaranteed.
The Platform may occasionally become unavailable due to maintenance, upgrades, security measures, technical failures, third-party services, internet interruptions, force majeure events, or other circumstances beyond Autonomic's reasonable control.
Autonomic may modify, suspend, discontinue, or replace any feature or functionality of the Platform at any time in accordance with these Terms.
6.9 No Warranty
To the maximum extent permitted by Applicable Law, the Platform is provided on an "as is" and "as available" basis.
Except as expressly provided in these Terms, Autonomic disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted availability, or freedom from errors.
Nothing in this Section limits any warranty or consumer protection that cannot lawfully be excluded under Applicable Law.
6.10 Interpretation of Platform Outputs
Platform outputs are intended to support understanding and should be interpreted within the context of your overall circumstances, your own judgment, and, where appropriate, advice obtained from qualified professionals.
The Platform should not be used as the sole basis for making significant medical, psychological, legal, financial, educational, employment, or other important life decisions.
Article VII — Intellectual Property and Ownership
7.1 Ownership of the Platform
The Platform, the Autonomic Intelligence Platform, and all associated software, source code, object code, databases, interfaces, user interfaces, designs, documentation, workflows, visual elements, graphics, text, content, trademarks, service marks, logos, trade names, domain names, and other materials made available by or on behalf of Autonomic are owned by or licensed to Autonomic and are protected by intellectual property and other Applicable Laws.
Except for the limited rights expressly granted under these Terms, no ownership or other intellectual property rights are transferred to you.
7.2 Ownership of the Autonomic Intelligence Platform
The Autonomic Intelligence Platform incorporates proprietary technologies, methodologies, systems, processes, and intellectual property developed, licensed, or otherwise used by Autonomic.
Without limitation, the Autonomic Intelligence Platform may include:
(a) Artificial Intelligence Systems;
(b) Human Validation Processes;
(c) behavioural intelligence methodologies;
(d) neuroscience methodologies;
(e) analytical models;
(f) recommendation methodologies;
(g) confidence scoring methodologies;
(h) decision-support methodologies;
(i) orchestration systems;
(j) safety architectures;
(k) longitudinal intelligence methodologies;
(l) simulation and validation environments;
(m) quality assurance methodologies;
(n) taxonomies, workflows, classifications, and decision frameworks; and
(o) other technologies, methodologies, systems, or intellectual property developed or acquired by Autonomic.
All right, title, and interest in and to the Autonomic Intelligence Platform, together with all related intellectual property rights, are and shall remain exclusively owned by Autonomic or its licensors.
7.3 Ownership of Information
Except as otherwise provided in these Terms, you retain ownership of the Information that you voluntarily provide or authorize the Platform to collect.
By providing Information to the Platform, you grant Autonomic the rights necessary to collect, store, process, analyze, use, reproduce, display, transmit, and otherwise use such Information for the purposes described in these Terms, the Privacy Policy, applicable Supplemental Terms, and Applicable Law.
Nothing in these Terms transfers ownership of your Information to Autonomic.
7.4 Brain Performance Intelligence
The Platform generates Brain Performance Intelligence through application of the Autonomic Intelligence Platform to Information made available to the Platform.
Personalized Brain Performance Intelligence generated for you is made available solely for your personal use in accordance with these Terms.
You acknowledge that the technologies, methodologies, analytical models, Artificial Intelligence Systems, Human Validation Processes, workflows, classifications, confidence methodologies, recommendation methodologies, and other intellectual property used to generate Brain Performance Intelligence remain the exclusive property of Autonomic.
Nothing in these Terms transfers ownership of the Autonomic Intelligence Platform or its underlying technologies merely because personalized Brain Performance Intelligence is made available to you.
7.5 Research, De-identified Data, Continuous Improvement, and Platform Development
Subject to these Terms, the Privacy Policy, applicable user consents, and Applicable Law, Autonomic may create, use, analyze, retain, and otherwise process De-identified Data and Aggregated Data for purposes including:
(a) scientific research;
(b) academic and research collaborations;
(c) product validation and scientific validation;
(d) quality assurance and benchmarking;
(e) preparation of scientific publications, presentations, and educational materials;
(f) development, evaluation, validation, and improvement of Artificial Intelligence Systems;
(g) development, evaluation, validation, and improvement of Human Validation Processes;
(h) enhancement of the Autonomic Intelligence Platform; and
(i) development of future technologies, methodologies, products, and services.
Continuous Improvement of the Autonomic Intelligence Platform
In order to research, develop, evaluate, validate, maintain, secure, commercialize, and continuously improve the Autonomic Intelligence Platform, Autonomic may use Information, De-identified Data, Aggregated Data, Brain Performance Intelligence, Human Validation Processes, research findings, validation activities, user feedback, and other information that Autonomic is authorized to use under these Terms, the Privacy Policy, applicable user consents, and Applicable Law.
Such activities may include researching, improving, calibrating, validating, testing, training, evaluating, optimizing, refining, adapting, or otherwise enhancing the Autonomic Intelligence Platform and its components, including without limitation:
(a) Artificial Intelligence Systems;
(b) Human Validation Processes;
(c) behavioural intelligence methodologies;
(d) analytical models;
(e) recommendation methodologies;
(f) confidence methodologies;
(g) decision-support methodologies;
(h) personalization methodologies;
(i) safety methodologies;
(j) scientific methodologies;
(k) quality assurance systems;
(l) simulation and validation environments;
(m) longitudinal intelligence methodologies; and
(n) future technologies, methodologies, products, and services developed by or on behalf of Autonomic.
Ownership of Research and Platform Improvements
All statistical analyses, aggregated analyses, research methodologies, validation methodologies, scientific findings, publications, benchmarks, Platform improvements, and other intellectual property developed by or on behalf of Autonomic using Information that Autonomic is authorized to use, De-identified Data, Aggregated Data, research findings, validation activities, or other lawfully available information shall remain the exclusive property of Autonomic or its licensors.
Nothing in this Section transfers ownership of De-identified Data, Aggregated Data, Platform improvements, research findings, scientific methodologies, or other intellectual property created by or on behalf of Autonomic.
7.6 Feedback
If you voluntarily provide suggestions, comments, ideas, feature requests, research observations, or other feedback relating to the Platform ("Feedback"), you grant Autonomic a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, distribute, display, perform, incorporate, commercialize, and otherwise exploit such Feedback for any lawful purpose without restriction or obligation to compensate you.
You represent that you have the right to provide such Feedback.
7.7 Reservation of Rights
Except for the limited rights expressly granted under these Terms, Autonomic reserves all rights, title, and interests in and to the Platform, the Autonomic Intelligence Platform, Brain Performance Intelligence methodologies, Artificial Intelligence Systems, Human Validation Processes, software, technologies, methodologies, research, documentation, trademarks, copyrights, patents, trade secrets, confidential information, and all other intellectual property and proprietary rights.
No implied license is granted under these Terms.
7.8 Restrictions on Intellectual Property
You may not, and may not permit any third party to:
(a) copy, reproduce, modify, translate, adapt, or create derivative works of the Platform except as expressly permitted by Applicable Law;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying models, methodologies, algorithms, workflows, prompts, decision systems, or proprietary technologies comprising the Autonomic Intelligence Platform;
(c) remove, alter, or obscure any copyright, trademark, proprietary, or other legal notices;
(d) use the Platform or any portion thereof to develop, train, benchmark, evaluate, validate, or improve any competing product or service;
(e) use automated means to extract, scrape, harvest, or systematically collect Platform content except as expressly authorized by Autonomic in writing; or
(f) otherwise infringe or misappropriate Autonomic's intellectual property rights.
Article VIII — Privacy, Confidentiality, and Security
8.1 Privacy Commitment
Protecting the privacy, confidentiality, and trust of our users is fundamental to the purpose of the Autonomic Intelligence Platform.
Autonomic is committed to collecting, using, storing, processing, disclosing, retaining, and protecting Information responsibly and in accordance with these Terms, the Privacy Policy, applicable user consents, and Applicable Law.
8.2 Privacy Policy
Your use of the Platform is also governed by the Autonomic Privacy Policy, which is incorporated into these Terms by reference.
The Privacy Policy explains, among other things:
(a) the categories of Information collected;
(b) how Information is collected, used, disclosed, retained, and protected;
(c) your privacy choices and available rights;
(d) how De-identified Data and Aggregated Data may be used;
(e) research-related processing;
(f) cross-border processing where applicable; and
(g) other privacy practices applicable to the Platform.
If these Terms conflict with the Privacy Policy regarding privacy practices, the Privacy Policy shall govern with respect to those privacy matters unless otherwise required by Applicable Law.
8.3 Confidentiality and Privacy by Design
Autonomic designs, develops, and operates the Autonomic Intelligence Platform with privacy, confidentiality, and security as foundational principles.
Access to Information is restricted based upon the nature of the Information, the responsibilities of the individual requesting access, and the legitimate business, research, operational, safety, legal, customer support, or compliance purpose for which access is required.
Where reasonably practicable, Autonomic implements privacy-enhancing practices designed to minimize access to identifying information, including role-based access controls, separation of responsibilities, de-identification, aggregation, and other measures appropriate to the nature and sensitivity of the Information being processed.
The Human Validation Processes are designed to support quality, scientific integrity, and user safety while minimizing unnecessary access to identifying information. Where reasonably practicable, individuals participating in Human Validation Processes perform their responsibilities using de-identified or limited Information appropriate to their assigned role. Access to identifying information is provided only to authorized personnel where reasonably necessary for operational, customer support, safety, legal, or compliance purposes.
Individuals acting on behalf of Autonomic who are authorized to access Information are subject to appropriate confidentiality, privacy, security, and training obligations consistent with their responsibilities.
8.4 Information Security
Autonomic maintains a layered information security program designed to protect the confidentiality, integrity, availability, and appropriate use of Information processed by the Autonomic Intelligence Platform.
Such safeguards may include, where appropriate:
(a) role-based access controls and least-privilege access principles;
(b) authentication and authorization controls;
(c) encryption of Information during transmission and, where appropriate, encryption of Information at rest;
(d) secure network, infrastructure, application, and cloud security controls;
(e) logging, monitoring, auditing, and security review processes;
(f) secure software development, testing, deployment, and change management practices;
(g) regular evaluation of security risks and vulnerabilities;
(h) personnel privacy, confidentiality, and information security training;
(i) security controls governing Human Validation Processes and other authorized access to Information;
(j) incident response, business continuity, and recovery procedures; and
(k) other administrative, technical, organizational, and physical safeguards appropriate to the nature and sensitivity of the Information processed by the Platform.
Autonomic continually evaluates and refines its security practices in light of evolving technologies, emerging threats, industry practices, scientific developments, and Applicable Law.
While Autonomic is committed to maintaining commercially reasonable safeguards, no method of electronic transmission, storage, or processing can be guaranteed to be completely secure. Accordingly, except as expressly required by Applicable Law, Autonomic cannot guarantee absolute security.
8.5 Organizational Access
Where the Platform is made available through an Organization, certain Information, reports, dashboards, usage statistics, or other authorized reporting may be made available to that Organization in accordance with these Terms, the Privacy Policy, applicable agreements with the Organization, user consents, and Applicable Law.
Organizational reporting may include individualized information where authorized by law, user consent, or applicable agreements, and may also include aggregated or de-identified reporting intended to support student success, research, program evaluation, organizational wellbeing initiatives, or other legitimate organizational purposes.
8.6 Service Providers and Third Parties
Autonomic may engage service providers, cloud infrastructure providers, researchers, laboratories, technology providers, analytics providers, payment processors, communications providers, and other third parties to support operation of the Platform.
Such third parties may receive Information only to the extent reasonably necessary to perform services on behalf of Autonomic and are required to comply with appropriate contractual privacy, confidentiality, and security obligations.
8.7 International Processing and Data Residency
Autonomic may process, store, or transfer Information in one or more jurisdictions in connection with providing, maintaining, securing, supporting, researching, or improving the Autonomic Intelligence Platform.
Where reasonably practicable and consistent with applicable contractual, regulatory, or legal requirements, Autonomic seeks to process and store Information within the jurisdiction or geographic region applicable to the Organization or user. For example, where required or appropriate, Autonomic may utilize infrastructure located within Canada to support Canadian Organizations and users or infrastructure located in other jurisdictions to satisfy applicable local requirements.
Where Information is transferred across jurisdictions, Autonomic implements commercially reasonable contractual, technical, and organizational safeguards designed to protect Information and comply with Applicable Law governing such transfers.
The location of processing or storage may change from time to time as the Platform, infrastructure providers, customer requirements, regulatory obligations, or Applicable Law evolve.
8.8 Information Retention and Disposal
Autonomic retains Personal Information only for as long as reasonably necessary to fulfill the purposes for which it was collected or subsequently authorized, including to:
(a) provide, maintain, secure, and improve the Platform;
(b) generate and maintain Brain Performance Intelligence and longitudinal user functionality;
(c) support authorized research, validation, quality assurance, and Human Validation Processes;
(d) comply with contractual, legal, regulatory, tax, accounting, or reporting obligations;
(e) establish, exercise, or defend legal rights and claims;
(f) investigate security incidents, fraud, misuse, or violations of these Terms; and
(g) fulfill other purposes described in the Privacy Policy or authorized by the user.
Retention periods may vary based on the nature and sensitivity of the Information, the purpose for which it is processed, the jurisdiction in which it is stored or used, applicable agreements, research requirements, and Applicable Law.
Autonomic maintains retention and disposal practices designed to establish appropriate minimum and maximum retention periods for relevant categories of Information. When Personal Information is no longer reasonably required, Autonomic will securely delete, destroy, anonymize, or de-identify it in accordance with its policies and Applicable Law.
De-identified Data and Aggregated Data may be retained for longer periods, including for scientific research, statistical analysis, Platform improvement, validation, benchmarking, and product development, provided such information is maintained in a form that does not reasonably identify an individual.
Autonomic may retain Information for longer where required by Applicable Law, a binding legal process, an applicable research protocol, a contractual obligation, or a reasonably anticipated or ongoing legal claim, investigation, audit, or security matter.
8.9 No Sale of Personal Information
Autonomic does not sell Personal Information.
Autonomic may disclose Information only as described in these Terms, the Privacy Policy, applicable user consents, agreements with Organizations, or as otherwise permitted or required by Applicable Law.
Nothing in this Section limits Autonomic's ability to use De-identified Data or Aggregated Data in accordance with these Terms, the Privacy Policy, applicable user consents, and Applicable Law.
8.10 Security Incidents
Autonomic maintains policies and procedures designed to identify, investigate, respond to, mitigate, and recover from Security Incidents affecting the Autonomic Intelligence Platform or Information under its control.
If Autonomic becomes aware of a Security Incident, it will respond in a commercially reasonable manner consistent with its incident response procedures, these Terms, the Privacy Policy, and Applicable Law.
Where notification is required by Applicable Law or contractual obligation, Autonomic will provide notice to affected individuals, Organizations, regulators, or other appropriate parties within the timeframes required by Applicable Law.
Nothing in this Section requires Autonomic to disclose information that could reasonably compromise the security of the Platform, facilitate future attacks, interfere with an investigation, or otherwise increase security risks.
Article IX — Limitation of Liability
9.1 Allocation of Risk
The parties acknowledge that the limitations, exclusions, and disclaimers set forth in these Terms reflect a reasonable allocation of risk between the parties and form an essential basis upon which Autonomic makes the Platform available.
The fees charged for the Platform, if any, reflect this allocation of risk.
9.2 Exclusion of Certain Damages
To the maximum extent permitted by Applicable Law, Autonomic, its affiliates, licensors, service providers, contractors, directors, officers, employees, researchers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings, reputation, use, data, or business interruption arising out of or relating to:
(a) your access to or use of the Platform;
(b) your inability to access or use the Platform;
(c) Brain Performance Intelligence, recommendations, insights, or other Platform outputs;
(d) Information submitted to or processed by the Platform;
(e) the acts or omissions of third parties;
(f) interruptions, delays, errors, or security incidents; or
(g) these Terms,
whether based in contract, tort (including negligence), statute, strict liability, or any other legal theory, even if Autonomic has been advised of the possibility of such damages.
9.3 Maximum Liability
To the maximum extent permitted by Applicable Law, the aggregate liability of Autonomic, its affiliates, licensors, service providers, contractors, directors, officers, employees, researchers, and agents arising out of or relating to the Platform or these Terms shall not exceed the greater of:
(a) the total fees paid directly by you to Autonomic for access to the Platform during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) USD $100 (or the equivalent amount in the currency in which you paid for the Platform).
If you access the Platform pursuant to a separate written agreement between Autonomic and an Organization, including a Master Services Agreement, Pilot Agreement, Enterprise Agreement, Research Agreement, or other commercial agreement, the limitation of liability contained in that agreement shall govern to the extent of any inconsistency with these Terms.
The limitations contained in this Section apply collectively to all claims arising out of or relating to the Platform or these Terms, regardless of the legal theory upon which such claims are based.
9.4 Third-Party Services
The Platform may rely upon or integrate with third-party products, services, infrastructure, software, communications networks, payment providers, cloud service providers, or other technologies that are not owned or controlled by Autonomic.
To the maximum extent permitted by Applicable Law, Autonomic is not responsible for interruptions, failures, inaccuracies, delays, security incidents, or other issues arising from or attributable to third-party services, except to the extent resulting directly from Autonomic's own breach of these Terms or Applicable Law.
9.5 User Decisions
You acknowledge that the Platform is designed to support understanding, awareness, and informed decision-making regarding brain performance and behaviour.
You remain solely responsible for your decisions, actions, behaviours, healthcare decisions, educational decisions, employment decisions, financial decisions, legal decisions, and lifestyle choices.
Autonomic shall not be liable for decisions made or actions taken by you or any third party in reliance upon Brain Performance Intelligence, recommendations, insights, educational content, or other Platform outputs.
9.6 Exceptions
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Applicable Law, including, where required by Applicable Law, liability arising from:
(a) fraud or fraudulent misrepresentation;
(b) willful misconduct;
(c) gross negligence where limitation is prohibited by Applicable Law;
(d) death or personal injury caused by negligence where limitation is prohibited by Applicable Law; or
(e) any other liability that Applicable Law prohibits from being excluded or limited.
9.7 Survival
The limitations, exclusions, and allocations of risk contained in this Article shall survive the suspension, termination, or expiration of these Terms and continue to apply to any claim arising out of or relating to your use of the Platform or these Terms.
Article X — Indemnification
10.1 User Indemnification
To the maximum extent permitted by Applicable Law, you agree to defend, indemnify, and hold harmless Autonomic, its affiliates, licensors, service providers, contractors, directors, officers, employees, researchers, agents, and successors (collectively, the "Autonomic Parties") from and against any third-party claims, actions, proceedings, liabilities, damages, judgments, settlements, fines, penalties, costs, and reasonable legal fees arising out of or relating to:
(a) your breach of these Terms or any applicable Supplemental Terms;
(b) your unlawful use of the Platform;
(c) your infringement or alleged infringement of the intellectual property, privacy, publicity, confidentiality, or other rights of any third party through Information submitted or otherwise made available by you;
(d) your misuse of the Platform or interference with the integrity, security, operation, or reliability of the Autonomic Intelligence Platform; or
(e) your violation of Applicable Law.
10.2 Integrity of the Platform
You acknowledge that the Autonomic Intelligence Platform depends upon the integrity, reliability, and security of the Information and systems used to generate Brain Performance Intelligence.
Accordingly, you agree not to knowingly:
(a) submit false, manipulated, fabricated, or misleading Information for the purpose of compromising Platform outputs, research, or Platform functionality;
(b) interfere with Human Validation Processes, Artificial Intelligence Systems, or other components of the Autonomic Intelligence Platform;
(c) attempt to compromise the confidentiality, integrity, availability, or security of the Platform;
(d) use automated means to manipulate, interfere with, or improperly influence Platform functionality; or
(e) otherwise engage in conduct intended to impair the operation, reliability, scientific integrity, or security of the Platform.
Claims arising from such conduct shall be subject to the indemnification obligations set forth in Section 10.1.
10.3 Defence of Claims
Autonomic will promptly notify you of any claim for which it seeks indemnification under this Article, provided that any delay in providing notice shall not relieve you of your obligations except to the extent you are materially prejudiced by such delay.
Autonomic shall have the right to control the defence and settlement of any such claim. You agree to cooperate reasonably with Autonomic in the defence of the claim at Autonomic's reasonable request.
You may not settle any claim that admits liability on behalf of an Autonomic Party or imposes any obligation upon an Autonomic Party without Autonomic's prior written consent, which shall not be unreasonably withheld.
10.4 Enterprise Agreements
If you access the Platform pursuant to a separate written agreement between Autonomic and an Organization, including a Master Services Agreement, Pilot Agreement, Enterprise Agreement, Research Agreement, or other commercial agreement, the indemnification provisions contained in that agreement shall govern to the extent of any inconsistency with these Terms.
Article XI — Suspension, Termination, and Survival
11.1 Termination by You
You may stop using the Platform at any time and may terminate these Terms by discontinuing your use of the Platform and, where applicable, closing your User Account.
Termination of your User Account does not require Autonomic to delete Information where retention is permitted or required under these Terms, the Privacy Policy, applicable user consents, contractual obligations, or Applicable Law.
11.2 Suspension
Autonomic may suspend or restrict access to all or part of the Platform immediately, with or without notice, where Autonomic reasonably believes such action is necessary to:
(a) protect the security, integrity, availability, or reliability of the Platform;
(b) protect users, Organizations, or third parties;
(c) investigate suspected violations of these Terms;
(d) prevent fraud, misuse, unauthorized access, or Security Incidents;
(e) comply with Applicable Law, legal process, or contractual obligations; or
(f) protect the rights, property, or legitimate interests of Autonomic or others.
Autonomic will use commercially reasonable efforts to restore access where the circumstances giving rise to the suspension have been resolved.
11.3 Termination by Autonomic
Autonomic may terminate these Terms or your access to the Platform where:
(a) you materially or repeatedly violate these Terms;
(b) your use of the Platform presents a material security, legal, operational, or safety risk;
(c) continued access would violate Applicable Law or a binding legal obligation;
(d) your conduct materially interferes with the operation or integrity of the Autonomic Intelligence Platform; or
(e) Autonomic permanently discontinues the applicable Platform or service.
11.4 Effect of Suspension or Termination
Upon suspension or termination:
(a) your right to access and use the Platform immediately ceases to the extent specified by Autonomic;
(b) Autonomic may deactivate or close your User Account;
(c) Information will continue to be handled in accordance with these Terms, the Privacy Policy, applicable user consents, contractual obligations, and Applicable Law;
(d) termination does not affect rights or obligations that accrued prior to termination; and
(e) where applicable, separate agreements between Autonomic and an Organization shall continue to govern the rights and obligations of the parties.
11.5 Survival
Any provision of these Terms that by its nature should survive suspension, termination, or expiration shall survive, including without limitation provisions relating to intellectual property, privacy, confidentiality, information retention, research, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and any other rights or obligations intended to survive.
Article XII — General Provisions
12.1 Changes to these Terms
Autonomic may modify these Terms from time to time to reflect changes in the Platform, applicable technologies, business operations, legal or regulatory requirements, industry practices, or other legitimate business needs.
Where required by Applicable Law, Autonomic will provide notice of material changes. Your continued access to or use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must discontinue your use of the Platform.
12.2 Supplemental Terms
Certain features, products, services, research activities, devices, integrations, promotions, or offerings made available through the Platform may be governed by additional terms, policies, consents, or agreements ("Supplemental Terms").
To the extent Supplemental Terms conflict with these Terms, the Supplemental Terms shall govern solely with respect to the applicable feature, product, service, or activity.
12.3 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
If you access the Platform pursuant to a separate written agreement between Autonomic and an Organization, including a Master Services Agreement, Pilot Agreement, Enterprise Agreement, Research Agreement, or other commercial agreement, the governing law provisions contained in that agreement shall govern to the extent of any inconsistency with these Terms.
12.4 Dispute Resolution
The parties agree to use good-faith efforts to resolve any dispute arising out of or relating to these Terms or the Platform through informal discussions before commencing formal legal proceedings.
If the parties are unable to resolve the dispute informally within a reasonable period of time, either party may pursue any remedy available before a court of competent jurisdiction.
Nothing in this Section limits either party's right to seek temporary, preliminary, or permanent injunctive or other equitable relief where reasonably necessary to protect intellectual property, confidential information, privacy, security, or other legal rights.
12.5 Assignment
You may not assign, transfer, delegate, or otherwise dispose of these Terms or any rights or obligations under these Terms without Autonomic's prior written consent.
Autonomic may assign or transfer these Terms, in whole or in part, in connection with a corporate reorganization, merger, acquisition, financing, sale of assets, or other business transaction, or as otherwise permitted by Applicable Law.
These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
12.6 Force Majeure
Autonomic shall not be liable for any delay or failure to perform any obligation under these Terms to the extent such delay or failure results from events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, labour disputes, war, terrorism, civil unrest, governmental action, interruptions in telecommunications or internet services, failures of third-party infrastructure, cyberattacks, power failures, or other similar events.
Autonomic will use commercially reasonable efforts to mitigate the effects of any such event where reasonably practicable.
12.7 Entire Agreement
These Terms, together with the Privacy Policy, any applicable Supplemental Terms, and any separate written agreement governing your use of the Platform, constitute the entire agreement between you and Autonomic regarding the Platform and supersede all prior or contemporaneous understandings, communications, representations, and agreements relating to the same subject matter.
12.8 Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by Applicable Law, and the remaining provisions shall remain in full force and effect.
12.9 Waiver
No failure or delay by Autonomic in exercising any right, remedy, or provision under these Terms shall constitute a waiver of that right or any other right.
Any waiver must be in writing and signed by an authorized representative of Autonomic.
12.10 Independent Relationship
Nothing contained in these Terms creates any partnership, joint venture, agency, fiduciary, employment, contractor, or other similar relationship between you and Autonomic.
12.11 Electronic Communications
You consent to receive notices, disclosures, agreements, and other communications from Autonomic electronically, including through the Platform, by email, or by other electronic means permitted by Applicable Law.
Electronic communications satisfy any legal requirement that such communications be provided in writing unless Applicable Law requires otherwise.
